THE FIT COLLECTIVE® MODERN DOCTOR CERTIFICATION

CERTIFICATION AGREEMENT

This Certification Agreement ("Agreement") is entered into by and between The FIT Collective® ("The FIT Collective," "we," or "us") and the individual identified in Exhibit A ("Practitioner," "you"), effective as of the date Practitioner enrolls in any Track (as defined below).

Recitals

WHEREAS, The FIT Collective has developed a proprietary certification program known as The FIT Collective® Modern Doctor Certification, comprised of four individually certifiable tracks: ARCC™ Method, DistressRx™, Mindful Macros®, and Strategic Strength™ (each, a "Track," collectively the "Tracks");

WHEREAS, Practitioner is a physician licensed to practice medicine in the United States or Canada and desires to enroll in one or more Tracks;

WHEREAS, The FIT Collective is willing to make the Tracks available to Practitioner subject to the terms and conditions of this Agreement;

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. Definitions

"Track" means any one of: ARCC™ Method, DistressRx™, Mindful Macros®, or Strategic Strength™.

"Modern Doctor Certification" means the combined designation available only to Practitioners who have completed all 4 Tracks.

"Completion Window" means the one (1) year period, measured as set forth in Section 5, within which Practitioner must complete all certification requirements for a given Track.

"Enrollment Window" means the period, determined by The FIT Collective and which may vary by Track, during which a Track is open for access.

"Certification Requirements" means the requirements described in Section 4.

2. Eligibility; Enrollment

Practitioner represents and warrants that Practitioner is a physician licensed to practice medicine in the United States or Canada (M.D., D.O., or equivalent Canadian licensure) at the time of enrollment in any Track. The FIT Collective may revoke certification and deny access without refund if this representation is found to be false.

Practitioner may purchase and complete Tracks in any order, subject to availability. Enrollment Windows for each Track are determined by The FIT Collective and may vary or be limited from time to time. Purchase of a Track, or of the bundled Modern Doctor Certification program, does not guarantee immediate enrollment if a given Track's Enrollment Window is not currently open.

Practitioner's specific Track enrollment(s), purchase date(s), and access start date(s) are recorded in Exhibit A to this Agreement, which is incorporated by reference and updated by The FIT Collective as Practitioner enrolls in and completes each Track.

3. Fees; Refund Policy

Fees are $5,000 per individual Track, or $15,000 for the bundled purchase of all 4 Tracks.

Certification under this Agreement is a one-time credential. There is no recurring or ongoing licensing fee following certification.

Practitioner may request a full refund within 7 days of purchase of any Track or the bundled program, provided Practitioner has not yet begun the Track's on-demand modules. After 7 days, or after modules have been started (whichever occurs first), all sales are final and non-refundable, including in the event Practitioner does not complete Certification Requirements within the Completion Window.

4. Certification Requirements; Conditions Precedent

Certification in a given Track is contingent upon Practitioner's completion, within the applicable Completion Window, of: (a) all 30 modules and approximately 6 hours of on-demand learning for that Track; (b) a passing score of at least 80% on each module quiz, which Practitioner may retake without limit; and (c) submission of one scenario video demonstrating Practitioner's application of the Track's taught method in a coaching scenario, reviewed and approved by The FIT Collective's designated review team in its sole discretion.

A Practitioner who purchases the bundled Modern Doctor Certification program but completes fewer than all 4 Tracks within the applicable Completion Window(s) will be certified in, and may use badges for, only the individual Track(s) actually completed. Partial completion does not entitle Practitioner to the "Modern Doctor Certification" designation, a refund for uncompleted Tracks, or an extension of the Completion Window.

5. Completion Window; Lapse

Practitioner has one (1) year from the date access to a Track begins (i.e., the date the applicable Enrollment Window opens for Practitioner) to complete all Certification Requirements for that Track. For Practitioners enrolled in all 4 Tracks as the Modern Doctor Certification, the Completion Window is one (1) year from the date Practitioner begins the combined program.

Access to Track content expires at the end of the Completion Window. Certification Requirements not completed within the Completion Window are forfeited, and no refund or extension is owed except at The FIT Collective's sole discretion.

6. Intellectual Property; License Grant

The FIT Collective owns all right, title, and interest in and to the Tracks and all associated content, methodologies, and marks, including without limitation ARCC™, DistressRx™, Mindful Macros®, and Strategic Strength™, and all curriculum, assessments, and video/written materials.

Upon successful completion of a Track, The FIT Collective grants Practitioner a limited, non-exclusive, non-transferable, revocable license to use the applicable Track name, badge, and framework solely in connection with Practitioner's own coaching practice, subject to the Brand Standards Guide and for the duration this Agreement remains in effect.

Practitioner shall not create, authorize, or distribute any derivative certification, training, or franchise based on any Track's methodology without The FIT Collective's prior written consent.

Practitioner acknowledges that the methodologies underlying the Tracks constitute confidential trade secrets of The FIT Collective and agrees to maintain their confidentiality both during and after participation. Practitioner shall not disclose, publish, or distribute proprietary training materials, assessment tools, or internal methodology documentation to any third party.

7. Brand Standards; Badge Usage

Practitioner's use of any Track name, logo, or certification badge shall comply with The FIT Collective's Brand Standards Guide, as updated from time to time and provided to Practitioner, which is incorporated herein by reference.

Practitioner may display the badge corresponding to each specific Track completed (ARCC™ Method Certified, DistressRx™ Certified, Mindful Macros® Certified, and/or Strategic Strength™ Certified), solely in connection with Practitioner's coaching services, in the form provided by The FIT Collective without alteration. "The FIT Collective® Modern Doctor Certification" badge is available only to Practitioners who have completed all 4 Tracks.

Practitioner shall not represent, imply, or suggest that Practitioner is an employee, agent, or representative of The FIT Collective, or that Practitioner is authorized to speak on The FIT Collective's behalf.

The FIT Collective reserves the right to review Practitioner's public use of any Track name or mark to confirm compliance with the Brand Standards Guide.

8. Independent Contractor Status

Practitioner is an independent business owner. Nothing in this Agreement creates an employment, agency, joint venture, or partnership relationship between Practitioner and The FIT Collective.

9. Disclaimers

Non-Accreditation Disclaimer. The Modern Doctor Certification and its four component Tracks are proprietary credentials developed and issued solely by The FIT Collective. They are not accredited by the International Coaching Federation (ICF), ACCME, or any other third-party accrediting body.

Scope-of-Practice Disclaimer. The Track methodologies and this certification are educational and coaching tools. They do not constitute the practice of medicine, psychology, dietetics, or mental health treatment. Practitioner is solely responsible for staying within the scope of practice permitted by Practitioner's own licensure and by the laws of the jurisdiction(s) in which Practitioner practices.

No Guarantee of Outcomes. The FIT Collective makes no representation or warranty regarding the business outcomes, income, or client results Practitioner may achieve through use of the certification.

10. Indemnification

Practitioner agrees to indemnify, defend, and hold harmless The FIT Collective, its officers, and affiliates from any claims, damages, or liabilities arising from Practitioner's provision of coaching services, advice, or representations to Practitioner's own clients, Practitioner's violation of this Agreement, or Practitioner's misuse or misapplication of Track content.

11. Limitation of Liability

In no event shall The FIT Collective's total liability to Practitioner exceed the total fees paid by Practitioner under this Agreement.

The Tracks and all associated materials are provided "as is" without warranties of any kind, express or implied, including fitness for a particular purpose.

Practitioner represents that Practitioner maintains, or will obtain, professional liability insurance appropriate to Practitioner's coaching practice.

12. Termination; Revocation

The FIT Collective may suspend or revoke Practitioner's certification upon: (a) material breach of this Agreement; (b) conduct that The FIT Collective reasonably determines harms its reputation or the brand; (c) misrepresentation of credentials or misuse of any certification badge or mark; or (d) misrepresentation of which Track(s) or the Modern Doctor Certification Practitioner has actually completed.

Notwithstanding any other provision, The FIT Collective may revoke Practitioner's certification immediately and without a cure period upon any misuse of the certification badge(s), marks, or designations, including use of a badge for a Track not completed or use of the "Modern Doctor Certification" designation without completing all 4 Tracks.

Except for badge or brand misuse (governed above) or conduct posing immediate risk to client safety, The FIT Collective shall provide written notice and a 15-day opportunity to cure prior to revocation for other breaches of this Agreement.

The FIT Collective may also terminate this Agreement and revoke certification immediately, without notice, in cases involving fraud, dishonesty, or risk to client welfare.

Upon termination or revocation, Practitioner shall immediately cease all use of the applicable Track name(s), logo(s), and certification badge(s), and shall remove all such references from websites, social media, and marketing materials within 10 business days.

13. Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of laws principles, regardless of Practitioner's country of residence or practice.

Any dispute arising out of this Agreement shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in Philadelphia, Pennsylvania, in accordance with the AAA's applicable rules, regardless of Practitioner's country of residence or practice, except that either party may seek injunctive relief in court to protect intellectual property rights.

14. Survival; Miscellaneous

Sections 6 (Intellectual Property), 7 (Brand Standards), 9 (Disclaimers), 10 (Indemnification), 11 (Limitation of Liability), 12 (Termination; Revocation), and 13 (Governing Law) shall survive termination of this Agreement.

This Agreement, together with Exhibit A and the Brand Standards Guide, constitutes the entire agreement between the parties with respect to the Tracks and supersedes all prior agreements or representations on this subject.

If any provision of this Agreement is held invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.

The FIT Collective may update this Agreement or the Brand Standards Guide from time to time. Material changes will apply prospectively and will be communicated through reasonable means.
